We have a 30 June balance date. Our interim reports will be available in late February following the release of our results and annual reports in late August. If you’re a shareholder, we’ll send these to you free via email or post, and we encourage the use of electronic copies to reduce environment impacts. They’re also on our website, under the Annual and Interim Reports page. If you’d like a hard copy, ask us to send you one by emailing ecomms@computershare.co.nz or you can set this as your preference with Computershare.

 

Our shareholder meetings are held in New Zealand at a time and place that works for as many shareholders as possible. Details are on our website, under the Annual Meeting page. If you’re a shareholder, we’ll send you a notice about four weeks before the meeting takes place.

QUESTIONS ABOUT DIVIDENDS

 

We aim to pay dividends of 70% to 85% of Free Cash Flow, subject to Board considerations. Dividend payments are usually made twice a year – an interim dividend in March (making up about 40% of the total amount paid), and a final dividend in September.

Imputation is a mechanism that a company can use to pass on credits for income tax paid to shareholders when paying dividends. These imputation credits can offset the amount of income tax New Zealand resident shareholders would otherwise be liable to pay on the dividend income received.

For individual New Zealand resident shareholders, Mercury is required by Inland Revenue to deduct withholding tax at the top individual tax rate of 33% from the dividend before paying the shareholder. Where possible Mercury will attach imputation credits to dividends at the company tax rate of 28% which will offset the tax deducted from the dividend payment.
 
If a shareholder is on an individual tax rate below 33% they may be entitled to a tax rebate at the time of their annual income tax return. It is recommended that shareholders seek their own tax advice to determine the tax implications of a dividend derived from Mercury.
 
 

Where we can, we’ll pay what’s known as a supplementary dividend to shareholders who aren’t New Zealand residents. This offsets the impact of ‘Non-Resident Withholding Tax’. We receive a tax credit equivalent to the supplementary dividend we pay. There’s no disadvantage to us or our shareholders, and non-resident shareholders don’t get a larger cash dividend than an equivalent New Zealand resident shareholder.
